These Terms govern the use of the memTITAN® website, desktop Core software, mobile applications, and related services.

Article 2

Scope

These Terms apply to the memTITAN® website, the memTITAN® desktop Core software, the mobile applications, and related services.

memTITAN® is intended for private users and, when explicitly offered, business users.

Article 3

What memTITAN® does

memTITAN® is local-first, user-controlled AI software that functions as a memory agent and curator. The personal Core runs on the user's own device. Memories, conversations, uploaded content and local memory data are organized, processed and stored locally by default.

Mobile connection works through the local same-network connection or remotely through the official memTITAN® relay hosted in Switzerland. Relay traffic is end-to-end encrypted; the relay processes only necessary technical routing and security metadata and cannot read private content.

memTITAN® is not a medical, legal, financial or safety-critical advisory service.

Article 4

Responsible use

Users should keep their own backups of important information and verify AI-generated output before relying on it.

Article 5

Requirements

  • a compatible desktop Core and mobile application provided on the official download page
  • a local network connection for phone-to-Core pairing and use, or remote access through the official memTITAN® relay
  • sufficient storage on the user's own device
  • current operating system and security updates
  • internet access for the website, downloads, updates and payment

The user is responsible for keeping their own device environment secure.

Article 6

Pairing, access, and security

Access to memTITAN® uses local keys, pairing codes, device sessions and security mechanisms. Pairing codes and access credentials must not be shared with third parties.

Users are responsible for protecting their devices, passwords, operating system accounts, and backups.

Article 7

Local data and backups

memTITAN® stores personal memories locally in the personal Core by default. The user is responsible for backing up important data.

memTITAN® cannot guarantee recovery if local files are deleted, damaged, encrypted by malware, or lost together with the device, unless the user has a working backup.

Article 8

AI output

AI-generated output may be incomplete, outdated, or incorrect. memTITAN® attempts to use personal context where appropriate, but does not guarantee accuracy, completeness, or suitability for a specific purpose.

Users must independently verify important information.

Article 9

Device-first actions

Features such as email drafts, messaging drafts, calendar entries, and map routes are device-first. memTITAN® prepares draft content or actions; the user confirms and sends or opens them in the relevant application.

memTITAN® does not automatically send emails or messages without the user's explicit action.

Article 10

Beta, Early Access price and personal one-time licence

Early Access registration is free of charge. No payment obligation arises from registration. Any private Beta access offered before the commercial release is also free of charge. Beta access and the final commercial release become available only after the applicable release, security, and recovery validation; no access or release date is guaranteed by registration.

The Beta is provided for testing. Access may be limited by participant capacity, supported devices and operating systems, available Beta functions, technical capacity, maintenance, security requirements and measures necessary to prevent misuse. Beta access may be suspended or ended where reasonably necessary for security, maintenance, legal compliance, technical stability or prevention of misuse. Beta participation does not grant a perpetual licence to the final commercial release.

A user who completes the memTITAN® Early Access registration through double opt-in is eligible to purchase the validated memTITAN® Personal release at the CHF 149 (Swiss francs) one-time Early Access price when private checkout opens through September 30, 2026. The regular price thereafter is CHF 299 (Swiss francs). There is no recurring software licence fee.

After full payment, the purchaser receives a personal, non-exclusive licence to use the delivered memTITAN® software for an indefinite period, subject to these Terms. The licence does not expire for the delivered version.

The licence is granted to one natural person. It permits one active installation of the memTITAN® Core on a Windows computer owned or controlled by that person. The licence holder may reinstall the Core on a replacement computer, provided that the previous installation is no longer used.

The Android Companion may be installed on Android devices owned or controlled by the same licence holder and may be paired only with that licence holder's licensed Core. It is a companion component and is not a standalone Core or separate multi-user licence.

The licence may be used for personal purposes and for the licence holder's own professional activities. Use by teams, employers, organisations, multiple users, or multiple simultaneous Core installations requires a separate written licence.

The licence may not be shared, sublicensed, rented, or resold, except where applicable mandatory law grants a transfer right. Where a transfer is legally permitted, the original licence holder must stop using the software, remove retained copies, and transfer the original proof of purchase.

Article 11

Included services, access, delivery and refunds

The purchase includes the software version delivered after payment, documentation, self-service help materials, and maintenance and security updates for the same major version when provided. Nothing in these Terms excludes update or conformity obligations required by mandatory law.

The purchase does not include individual onboarding, installation assistance, configuration, training, data migration, consulting, priority support, guaranteed response or resolution times, future major versions, macOS or iOS versions, or third-party services unless expressly stated before purchase. Where requested by a prospective or existing customer, individual services may be offered by separate agreement and may incur additional charges depending on the nature and scope of the requested service. Any applicable price will be communicated before the customer places a binding order for that service.

After payment confirmation, private access to the applicable Windows Core and Android Companion packages is made available. Because this is a one-time purchase, there is no renewal or recurring software licence billing.

Payments, cancellations, refunds, and payment confirmations may be processed by external payment providers or application stores. Their terms may also apply. Refunds and withdrawal rights are provided where required by mandatory law, explicitly offered, or available under the applicable terms of the payment provider or application store.

Article 12

Prohibited use

  • unlawful purposes
  • attacks against systems, networks, or accounts
  • circumvention of security mechanisms
  • creation or distribution of harmful content
  • infringement of third-party rights
  • automated mass requests unless explicitly permitted

Article 13

Availability, updates, support and online services

memTITAN® is operated and developed with reasonable care. Continuous availability is not guaranteed, especially for beta versions, local network issues, device problems, operating system changes, or third-party services.

memTITAN® may be updated to improve features, fix security issues, or meet additional legal requirements. Features may change or be removed. Future major versions may require a separate purchase unless stated otherwise.

The licence is self-service. memTITAN® provides documentation, frequently asked questions, and a contact address for payment, licence, security, and critical product matters. Individual technical assistance and guaranteed response or resolution times are not included, but individual assistance may be offered by separate agreement where necessary and may incur additional charges. Mandatory statutory rights remain unaffected.

Local same-network use is part of the product. Remote access through the official memTITAN® relay and other hosted functions are ancillary online services and are not part of the perpetual software licence unless expressly stated in the order. Their availability period, technical limits, and any separate fee will be disclosed before purchase or activation. Discontinuation of an optional online service does not terminate the licence to use the local software.

Article 14

Liability

To the extent permitted by law, memTITAN® is not liable for indirect damages, loss of data, lost profits, decisions based on AI output, or damage caused by improper use.

Liability for intent, gross negligence, and mandatory statutory liability remains unaffected.

Article 15

Privacy

Information about the processing of personal data is available in the Privacy Policy.

Article 16

Changes to these Terms

memTITAN® may update these Terms when required by new features, technical changes, legal requirements, or security needs. The current version is published on the website.

Article 17

Governing law and jurisdiction

Swiss law applies, unless mandatory consumer protection rules at the user's place of residence provide otherwise.

Where legally permitted, the place of jurisdiction is the registered place of memTITAN® in Switzerland.
